Warranty Policy Version Incorporated: Trusted for Over Forty Years
Canvas USA® (“Canvas USA®,” “we,” “us,” “our”) provides custom marine, residential, and retail products and services. These Terms & Conditions (“Terms”) govern all quotations, purchases, services, and work performed by Canvas USA®. By submitting payment, signing an estimate or invoice, approving specifications (including by email or text), or otherwise authorizing work, you (“Customer,” “you”) agree to be bound by these Terms. These Terms form a legally binding agreement.
1) QUOTATIONS & PRICING
1.1 Quote Reliance; Scope; Validity; Customer-Provided Information
All quotations are issued based on the information available at the time of issuance and rely on Customer-provided details, measurements, photos, descriptions, and specifications. Quotes apply only to the scope expressly described in the quotation and do not include additional work, repairs, or modifications unless stated in writing. If Customer-provided information is incomplete, inaccurate, or materially changes (including dimensions, conditions, access, hardware, surface conditions, structure, installation constraints, or existing wear), Canvas USA® may revise pricing accordingly. Quotes are valid only for the period stated on the quotation, or if no period is stated, for a reasonable time as determined by Canvas USA®.
1.2 Provisional Pricing; Inspections; Evaluation; Scope Variations
Canvas USA® pricing for marine, residential, and retail work is based on Customer-provided specifications and the conditions reasonably observable at the time of quoting. Unless Canvas USA® has performed an onsite inspection or evaluation (including vessel inspection for marine work or site evaluation for residential/retail work), all pricing is provisional and subject to revision after arrival, measurement verification, inspection, or material assessment. Customer acknowledges that unseen conditions, prior modifications, access limitations, underlying structural issues, failing finishes (paint/gelcoat), hardware issues, surface abrasions, sharp edges, poorly fitting parts, or other concealed conditions may materially affect labor, materials, and the final price. Canvas USA® reserves the right to modify pricing to reflect actual project requirements, including labor, materials, change requests, and unforeseen complexities. Where a material scope change is identified, Canvas USA® will make reasonable efforts to notify Customer.
2) SCHEDULING & COMPLETION
2.1 First-Come, First-Served
All projects are scheduled and completed on a first-come, first-served basis.
2.2 Estimated Completion Dates
Any quoted completion date is an estimate only and is not a guarantee. Completion time depends on workload, material availability, staffing, and project complexity.
2.3 Delays Beyond Control
Delays caused by weather, supply chain disruptions, vendor delays, access limitations, customer delays, or other factors beyond Canvas USA®’s control do not constitute a breach of contract.
2.4 Completion Notice
Canvas USA® will notify Customer upon completion of the project and readiness for pickup, delivery, shipment, or installation.
2.5 Right to Refuse or Stop Work; Unsafe or Hostile Conditions
Canvas USA® may refuse service, delay service, or stop work at any time if conditions are unsafe, unreasonably hazardous, unlawful, inaccessible, or if Customer or any third party is hostile, abusive, threatening, intoxicated, or interferes with Canvas USA® staff or operations. If work is refused or stopped for these reasons, Customer remains responsible for all time, materials, travel, handling, and other charges incurred or committed to date, and any deposit remains subject to Section 7 and Section 3.
3) CUSTOM WORK, REPAIRS & TIME-AND-MATERIALS
3.1 Time-and-Materials
Unless otherwise stated in writing, custom products, repairs, and modifications are billed on actual time and materials.
3.2 Base Charge / Start Fee
A base charge may be applied at the start of each project to cover initial setup, inspection, preparation, administrative processing, and scheduling commitment. This base charge is calculated based on the typical investment for similar work.
3.3 Scope Expansion
If actual work requires more time, labor, or materials than anticipated, final charges may exceed the estimate. Canvas USA® will make reasonable efforts to notify Customer when a significant scope expansion is identified.
3.4 Deposit Required; Deposit Earned Upon Production Start
A deposit stated in the quotation is required before Canvas USA® will commence work or reserve production capacity, unless otherwise approved in writing. Deposits become earned and non-refundable upon Production Start as defined in Section 7.
4) DESIGN, MODIFICATIONS & CHANGE REQUESTS
4.1 Custom Design
Custom products are designed based on Customer specifications and/or similar prior projects.
4.2 Modifications During Production
Requested modifications after approval or after production begins will be billed on a time-and-materials basis and may affect price and completion timing. Canvas USA® may require written approval for change requests.
4.3 Bespoke Pricing
Because work is custom and conditions vary, Customer acknowledges pricing may change if specifications change, measurements differ, or scope expands.
5) CUSTOMER VERIFICATION & SPECIFICATION APPROVAL
5.1 Customer Responsibility
Customer is responsible for verifying all specifications prior to production, including dimensions, colors, materials, hardware, and descriptions.
5.2 Approval Equals Authorization
By signing an estimate/invoice, submitting payment, or confirming approval by email/text, Customer confirms specifications are correct and authorizes Canvas USA® to proceed.
5.3 Post-Approval Changes
Revisions requested after approval may incur additional charges and may impact timelines.
5.4 No Liability for Approved Specifications
Canvas USA® is not liable for discrepancies resulting from Customer-approved specifications, measurements, or material selections.
6) PAYMENT TERMS
6.1 Deposit
A minimum 50% deposit is required on all orders unless Canvas USA® provides written approval for a lesser amount.
6.2 Balance Due Prior to Release
The remaining balance is due in full before release, pickup, shipment, delivery, or installation.
6.3 Field Service
For field service projects, the remaining balance must be paid either prior to arrival or onsite at the time of final installation.
6.4 Nonpayment
Failure to make timely payments may result in suspension of work, delay of delivery, and withholding of completed products/services until paid in full.
6.5 Removal, Handling & Storage Fees
Any fees incurred for removal, handling, or storage due to delayed pickup, delayed delivery, nonpayment, or customer delay will be added to the outstanding balance and must be paid in full prior to release.
6.6 Accepted Payments
Canvas USA® accepts all major credit cards and other payment methods as posted or agreed in writing.
7) RETURNS, REFUNDS, CANCELLATIONS & NON-REFUNDABLE DEPOSITS (CUSTOM ORDERS)
7.1 Custom-Made Goods; No Returns; All Sales Final
All Canvas USA® products are custom-made to order and manufactured to Customer-approved specifications. ALL SALES ARE FINAL. Because custom goods are not resalable and are manufactured specifically for the Customer, no returns, exchanges, or refunds are permitted except as expressly provided in Section 10 (Warranty).
7.2 No Cancellation After Production Start
Orders may not be canceled once production begins (“Production Start”), regardless of whether the Customer later changes their mind, sells the vessel/property, experiences financial hardship, delays pickup, or otherwise seeks to reverse the order.
Production Start occurs immediately upon any of the following:
• design, patterning, templating, measuring, or layout begins;
• materials are ordered, procured, cut, staged, or allocated to the job;
• fabrication, sewing, assembly, installation preparation, or related shop work begins;
• shop time is logged to the order; or
• The order is released into the production pipeline, and scheduling resources are committed.
Customer acknowledges and agrees that once Production Start occurs, Canvas USA® has incurred non-recoverable costs and committed labor/material resources in reliance on the order.
7.3 Deposits Are Earned and Non-Refundable Upon Production Start
A minimum 50% deposit (or other stated deposit) is required to begin work. The deposit is earned and non-refundable upon Production Start. The deposit compensates Canvas USA® for design and administrative labor, scheduling commitment, procurement activity, and the non-recoverable allocation of production capacity and materials.
Deposits are not refundable under any circumstances once Production Start occurs, including if Customer disputes satisfaction, requests cancellation, fails to pay the remaining balance, or refuses delivery.
7.4 Pre-Production Cancellation (If Allowed) — Limited, Discretionary
If Customer requests cancellation before Production Start, Canvas USA® may, in its sole discretion, approve a cancellation. If approved, Canvas USA® may retain an administrative/design fee and any costs incurred (including quote time, design time, materials ordered, inbound freight, vendor fees, and payment processing fees). Any permitted refund will be limited to uncommitted funds and issued only to the original payment method after the transaction has fully settled.
Canvas USA® is under no obligation to grant pre-production cancellations and may refuse any cancellation request at its discretion.
7.5 No Cash Refunds; Refund Method Restrictions
If any refund is approved in writing by authorized management, refunds will be issued only to the original payment method; no refunds will be issued by cash, check, wire, ACH, third-party payment, or to a different card; refunds will not be processed until the original charge has fully settled and has cleared verification review.
7.6 Warranty Remedy Is Exclusive; No Return Required
Canvas USA® does not accept returns. If a workmanship or materials defect is verified and covered under the applicable written warranty, Customer’s sole and exclusive remedy is the warranty remedy described in Section 10 (repair, replacement, or prorated credit), as determined by Canvas USA®.
7.7 Customer Nonpayment; Suspension; Storage; Release Conditions
Failure to make timely payments may result in suspension of work, delay of delivery, and withholding of completed products/services until paid in full. Completed items are not released until payment is made in full. Storage fees may apply as stated in Section 8.
7.8 Payment Disputes, Chargebacks & Enforcement (Strong)
Customer agrees that custom goods authorized and released into production are not eligible for chargeback or payment reversal, except in the event of proven fraud or as otherwise required by applicable law. Customer further agrees to contact Canvas USA® directly and provide Canvas USA® a reasonable opportunity to resolve any billing dispute in good faith before initiating any dispute with a bank or card issuer.
If Customer initiates a chargeback, payment reversal, or dispute inconsistent with these Terms (including disputes based on buyer’s remorse, cancellation after Production Start, dissatisfaction unrelated to confirmed warranty defect, refusal to pay balance due, or refusal to accept delivery), Customer acknowledges such action may constitute a breach of contract. In such an event, Canvas USA® will provide the bank/card issuer with documentation, including the signed agreement, specification approvals, production progress evidence, and these Terms.
Customer agrees to reimburse Canvas USA® for reasonable administrative costs, recovery costs, and dispute-related expenses incurred as a result of wrongful, bad-faith, or contract-inconsistent disputes, to the extent permitted by Texas law.
If Canvas USA® determines that formal enforcement is required to protect its rights, recover amounts due, or address wrongful disputes, Canvas USA® will pursue all remedies available under Texas law and will file suit in the proper court in accordance with Section 13 (Governing Law & Venue).
7.9 Acknowledgment of Custom Goods and Reasonable Allocation
Customer acknowledges that Canvas USA® manufactures custom goods and commits labor and materials upon authorization. Once Production Start occurs, the deposit is not a penalty but a reasonable allocation of reliance damages and costs incurred by Canvas USA® in connection with a custom order that cannot be resold in the ordinary course of business.
8) STORAGE, PICKUP & ABANDONMENT
8.1 Completion Notice
The customer will be notified when the product is complete. Notice may be provided by phone, text, email, invoice message, or other reasonable method. Customer is responsible for maintaining current contact information. Storage and abandonment timelines begin upon the issuance of the completion notice, whether or not the Customer responds.
8.2 Storage Fees
Items left more than 30 days after the completion notice may incur a $25/day storage fee, unless otherwise agreed in writing.
8.3 Abandonment
Items left 60 days after the completion notice may be deemed abandoned. Canvas USA® may dispose of or sell abandoned items to recover unpaid balances, storage fees, and costs as permitted by law. Customer remains responsible for any outstanding balance not recovered. Canvas USA® may also pursue any other lawful remedies, including lien rights and recovery of unpaid balances.
8.4 Release Condition
No product will be released until payment is made in full.
9) PHOTOS, CUSTOMER-SUBMITTED MATERIALS, VALUABLES & INTELLECTUAL PROPERTY
9.1 Customer Materials
Customer retains ownership of photos, measurements, and other materials submitted to Canvas USA®.
9.2 License for Production and Records
Customer grants Canvas USA® a non-exclusive license to use submitted materials as necessary to manufacture the product and maintain project records.
9.3 Marketing Use
Customer grants Canvas USA® permission to use project photos for promotional, archival, and portfolio purposes unless Customer provides written opt-out prior to production.
9.4 Customer Responsibility for Valuables, Electronics, and Personal Property
Customer is solely responsible for removing, securing, and protecting valuables, electronics, personal property, and sensitive items from any vessel, vehicle, residence, or work area before Canvas USA® performs work or takes custody. Canvas USA® is not responsible for loss, theft, or damage to such items except to the extent caused by Canvas USA®’s gross negligence or as otherwise required by applicable law.
9.5 Canvas USA® Intellectual Property
All patterns, templates, prototypes, designs, and fabrication methods created by Canvas USA® remain the intellectual property of Canvas USA® unless otherwise agreed in writing.
10) CANVAS USA® FIVE-STAR WARRANTY SYSTEM (INCORPORATED WARRANTY POLICY)
10.1 Warranty System; Duration
Canvas USA® uses a Five-Star Warranty System. Every Canvas USA® product displays a star rating on its logo. The number of stars determines the warranty length:
Warranty Years = Number of Stars × 2
Star Warranty Guide:
• 1 Star = 2 Years
• 2 Stars = 4 Years
• 3 Stars = 6 Years
• 4 Stars = 8 Years
• 5 Stars = 10 Years
The warranty period begins on the original purchase date.
10.2 Materials; Supplier Warranties
Not all Canvas USA® products use the same materials. Some use standard canvas, others use premium marine-grade canvas, specialty coatings, or chemically treated fabrics. Where a product includes a separate material or supplier warranty, that supplier warranty may apply in addition to Canvas USA® coverage and will be included with the product. Canvas USA® may need to coordinate review with the supplier as part of the claim process.
10.3 Built to Be Repaired
Canvas USA® builds products to last and be repaired where appropriate. Canvas USA® maintains repair capability because well-made products should be kept in service, not discarded.
10.4 What This Warranty Covers
This warranty covers manufacturing defects and artistry issues when the product is used normally, properly installed, and reasonably cared for during the applicable warranty period.
10.5 Exclusive Warranty Remedies (Canvas USA® Option Only)
If a defect is confirmed, Canvas USA® will provide one of the following remedies, at Canvas USA®’s sole option, as the only remedy under this warranty:
• Repair, or
• Replacement, or
• Prorated credit toward replacement, based on time in service and condition.
No other remedies apply unless required by law.
10.6 What This Warranty Does Not Cover
Normal aging, wear, and cosmetic changes are expected. Exposure to sun, salt, wind, humidity, and outdoor elements will cause canvas products to develop a patina. Fading and gradual aging are normal and not considered defects.
This warranty does not cover:
• normal wear and tear;
• cosmetic changes from age or use, including fading;
• dirty, neglected, or not reasonably maintained products;
• misuse, abuse, neglect, or improper care;
• improper installation or improper storage;
• storm damage, accidents, impact damage, or exposure beyond normal limits of use;
• alterations, modifications, or repairs not approved by Canvas USA®.
10.7 Surface Conditions and Underlying Product Issues
Canvas USA® is not responsible for damage caused by the boat’s or underlying surface’s condition, structure, finish, or hardware. This includes failing paint or gelcoat, uncured finishes, rough surfaces, sharp edges, hardware issues, structural flaws, or poorly fitting parts. If the underlying surface or coating is deteriorating or rubbing off, that is not due to Canvas USA® workmanship or materials.
10.8 Warranty Limited to Original Purchaser
This warranty is valid only for the original purchaser and is not transferable without a written warranty transfer approval. Proof of purchase is required.
10.9 Warranty Transfer (By Approval Only)
If the Customer sells the boat during the warranty period, the Customer may request a warranty transfer to the new owner. Transfers are not automatic and may be denied. If approved, the warranty applies only for the remaining time on the original warranty. A transfer may be approved only if:
• Customer notifies Canvas USA® before or at the time of sale;
• Customer provides proof of original purchase;
• the product remains within the original warranty period; and
• Customer receives written approval from Canvas USA®.
10.10 Where Claims Are Handled
Warranty service is available at the location where the product was purchased, including a Canvas USA® store or authorized retailer. For online orders placed directly with Canvas USA®, warranty claims are handled by Canvas USA® customer support.
10.11 Shipping and Delivery Costs
Customers are responsible for inbound shipping or delivery costs to the warranty service location. If a warranty claim is approved, Canvas USA® will decide whether return shipping is covered based on the claim type and resolution.
10.12 How to File a Warranty Claim
To file a claim, contact the store or location where the product was purchased (or Canvas USA® customer support for online orders). Provide proof of purchase and explicit photos of the issue, along with a brief description of the problem and how the product was used. The product may require inspection before a warranty decision is made.

10.13 Final Warranty Decisions
Canvas USA® reviews all claims and makes the final determination on warranty approval and resolution.
10.14 Legal Rights Notice
This warranty provides specific legal rights, and Customer may also have other rights that vary by state.
10.15 Limits on Damages and Implied Warranties
To the extent permitted by law, Canvas USA® is not liable for incidental or consequential damages, including loss of use, downtime, towing, storage fees, travel costs, or related expenses.
To the extent permitted by law, any implied warranties (including merchantability and fitness for a particular purpose) are limited in duration to the length of this written warranty. Some states do not allow limitations on implied warranty duration or limitations/exclusions of incidental or consequential damages, so these limitations may not apply to you.
11) LIMITATION OF LIABILITY
Canvas USA® shall not be liable for indirect, incidental, special, or consequential damages. Canvas USA®’s liability is limited solely to the warranty remedy described in Section 10. Under no circumstances shall liability exceed the amount paid by Customer for the specific product or service at issue.
12) COLLECTIONS, RECOVERY COSTS & ATTORNEY FEES
If Customer fails to pay amounts due, refuses to pay after completion, initiates a wrongful payment reversal or chargeback, or otherwise breaches these Terms, Customer agrees to pay Canvas USA®’s reasonable collection costs, administrative costs, court costs, and attorney fees as permitted by Texas law. Canvas USA® may pursue any remedies available under Texas law, including lien rights where applicable.
13) GOVERNING LAW & VENUE
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms shall be brought exclusively in the state courts located in Aransas County, Texas. Customer consents to personal jurisdiction and venue in such courts.
14) ENTIRE AGREEMENT
These Terms, together with the quotation, invoice, approved specifications, and any written addenda, constitute the entire agreement between Customer and Canvas USA® and supersede all prior communications.
15) SEVERABILITY
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. They shall be enforced to the maximum extent permitted by law.
16) FORCE MAJEURE
Canvas USA® shall not be liable for any delay, inability to perform, or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, hurricanes, storms, floods, fire, power failures, labor shortages, transportation delays, supply chain disruptions, vendor delays, governmental actions, war, terrorism, civil unrest, or other similar events. In such cases, timelines will be reasonably extended, and Customer remains responsible for payment of amounts due for work performed or costs incurred.

CUSTOM ORDER ACKNOWLEDGMENT (REQUIRED): Customer acknowledges this is a custom-made order manufactured to Customer-approved specifications. ALL SALES FINAL. NO RETURNS. Deposits are earned and non-refundable once Production Start occurs, including design/patterning, templating, materials ordered/procured/cut/staged/allocated, fabrication started, shop time logged, or scheduling resources committed. Customer authorizes Canvas USA® to proceed. The remaining balance is due in full before release, pickup, shipment, delivery, or installation.
CHARGEBACK ACKNOWLEDGMENT: Customer agrees not to initiate a chargeback, payment reversal, or payment dispute for custom work authorized and released into production except as required by applicable law, and agrees to contact Canvas USA® first and provide a reasonable opportunity to resolve any billing dispute in good faith.
